Kris Garza Wedding Photography
Effective Date: The date and time the Licensee electronically accepts this Agreement.
This Audiovisual Content License Agreement (“Agreement”) is entered into between:
Licensor: Kristel Macias Garza, operating under the professional name Kris Garza Wedding Photography, based in Mexico (“Licensor”).
Licensee: The individual identified below, acting on their own behalf or, if applicable, as an authorized representative of the company identified below, operating under the brand name HIDDENSPACE Jewelry (“Licensee”).
Together, the “Parties.” By electronically accepting this Agreement, the Parties agree to the following terms.
This Agreement applies exclusively to the audiovisual work titled “La Mariée”, a reel featuring bridal imagery filmed and edited by the Licensor (“Licensed Content”).
No other photographs, videos, raw footage, original camera files, editing project files, or creative assets are included unless expressly agreed in writing.
Subject to full payment and compliance with this Agreement, the Licensor grants the Licensee a limited, non-exclusive, non-transferable license to use the Licensed Content under these conditions:
Any paid advertising, extension of the license term, or additional use of the Licensed Content requires the Licensor's prior written approval and may be subject to an additional licensing fee under a separate written agreement.
The license is non-exclusive. The Licensor retains ownership of the Licensed Content and all rights not expressly granted under this Agreement.
Advertising agencies or contractors acting solely on behalf of the Licensee may use the Licensed Content to execute the authorized campaign, provided they comply with this Agreement and receive no independent usage rights.
The Licensor retains ownership of the Licensed Content and all copyrights and intellectual property rights owned by the Licensor. This Agreement grants limited usage rights only; it does not constitute a sale, assignment, or transfer of copyright ownership.
The Licensee may not claim authorship of the Licensed Content or register it as its own intellectual property. The license fee compensates the Licensor for authorized use, not for transfer of ownership.
The Licensee may make reasonable technical adjustments necessary for publication on authorized platforms, including resizing, cropping, and adapting the aspect ratio.
The Licensee may not materially alter the content, misrepresent the original work, create misleading associations, or modify the footage in a manner that damages the Licensor’s professional reputation.
The Licensee may not use artificial intelligence to generate derivative versions of the Licensed Content, replace identifiable people, materially alter the depicted scene, or create synthetic representations of individuals appearing in the footage without the Licensor’s prior written consent.
Any substantial edit, new creative adaptation, or use outside the agreed campaign requires prior written approval from the Licensor.
The Licensee agrees to credit Kris Garza Wedding Photography when reasonably possible. Where supported by the platform and format, the Licensee shall tag the Licensor’s official social media account or include an appropriate credit in the publication.
The absence of a visible credit in a format that does not reasonably support attribution shall not, by itself, constitute a breach of this Agreement.
The Licensor confirms that authorization for commercial use of the bride’s identifiable image has been obtained, subject to the scope and limitations of that authorization.
Separate permissions or licenses may be required for third-party music, trademarks, artwork, locations, or other protected elements incorporated into the Licensed Content. Unless expressly stated in writing, this license does not include independent rights to third-party materials that the Licensor does not own or control.
The Licensee is responsible for ensuring that any music, advertising materials, products, and additional elements introduced into the campaign are appropriately licensed and legally cleared. The Parties shall cooperate in good faith to address any additional authorization reasonably required for the agreed use.
The Licensor represents that the Licensed Content was filmed on location and edited using conventional post-production techniques, with no AI-generated content or AI-assisted tools used at any stage of production or editing.
The Licensee may accurately disclose this production information to advertising platforms and other relevant parties for compliance purposes. The Licensee shall not misrepresent the production process or make misleading claims about the Licensor’s work.
The total licensing fee for the rights granted under this Agreement is USD $500 (five hundred United States dollars).
Payment shall be made using the payment method selected by the Licensee and accepted by the Licensor. Any transaction fees or payment processing charges must be agreed upon by both parties before payment is made.
The license shall become effective only after the Licensor has received full payment and delivered the Licensed Content.
The licensing fee covers only the usage rights expressly described in Section 2 of this Agreement. Any extension of the license term, paid advertising, or additional usage rights requires a separate written agreement and may incur an additional fee.
Following electronic acceptance of this Agreement, confirmation of the required authorizations, and receipt of full payment, the Licensor shall deliver the agreed version of the Licensed Content within twenty-four (24) to forty-eight (48) hours. This delivery timeframe begins once full payment has been received and the required authorizations have been confirmed.
The Licensed Content shall be delivered in a digital playback format, encoded using the codec, bitrate, resolution, and other technical specifications selected by the Licensee as best suited to the Licensee’s intended platforms and distribution formats. The Licensee may specify the preferred technical settings before delivery.
The license fee includes delivery of up to three (3) versions of the same video, each encoded with a different combination of codec, bitrate, resolution, or other technical settings, as reasonably requested by the Licensee. These versions are intended solely to accommodate technical playback, compatibility, and distribution requirements and do not constitute additional creative edits or separately licensed works.
The Licensee is permitted to transcode, re-encode, compress, resize, and otherwise technically adapt the delivered video, including changing its codec, bitrate, resolution, or file format, as reasonably necessary to meet the technical requirements of the authorized platforms and uses specified in this Agreement. Such technical adaptations do not require the Licensor’s prior written approval, provided that they do not materially alter the creative content, misrepresent the original work, violate third-party rights, or otherwise breach this Agreement.
Unless separately agreed in writing, delivery does not include RAW files, original camera files, editing project files, unused footage, additional creative edits, or other production materials. The Licensee is responsible for downloading and securely storing the delivered files.
The Licensee shall not:
The license expires automatically at the end of the six-month term, beginning on the date the Licensor has received full payment and delivered the Licensed Content. To continue using the Licensed Content beyond the expiration date, the Licensee must obtain a written renewal and pay any additional licensing fee agreed upon by the Parties.
Upon expiration or termination, the Licensee shall cease all new use of the Licensed Content and discontinue any active paid advertising featuring it. The Licensee shall remove the Licensed Content from its official website within ten (10) business days after expiration or termination.
Organic Instagram posts published during the valid license period may remain visible on the Licensee's profile as historical posts, provided they are not boosted, promoted, republished, used in paid advertising, or otherwise distributed as new commercial content after the license expires. Any continued commercial use beyond the authorized term requires the Licensor's prior written approval and may be subject to an additional licensing fee.
Either Party may terminate this Agreement if the other Party materially breaches its obligations and fails to remedy the breach within ten (10) business days after receiving written notice describing the breach.
Where continued use would violate third-party rights, applicable law, or a material restriction under this Agreement, the Licensor may require immediate suspension of the affected use while the matter is resolved.
Termination does not eliminate payment obligations or liability for breaches that occurred before termination. Upon termination, all usage rights granted under this Agreement cease, subject to applicable mandatory legal requirements. Any refund following termination shall depend on the circumstances, the Parties’ written agreement, and applicable law.
Each Party represents that it has the authority to enter into this Agreement. The Licensor will make reasonable efforts to ensure that the rights and authorizations within the Licensor’s control are sufficient for the agreed use.
The Licensee is responsible for its advertising claims, campaign materials, product representations, platform compliance, and any materials it adds to the Licensed Content.
Neither Party shall be liable for indirect or consequential damages to the extent permitted by applicable law. Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
Nothing in this Agreement creates an employment relationship, partnership, joint venture, agency relationship, or transfer of ownership between the Parties. The Licensee is acquiring limited usage rights to the Licensed Content, not the Licensor’s services or ownership of the original work.
Governing law and jurisdiction: The governing law and jurisdiction must be specified by the Parties before this Agreement is published and accepted.
The Parties agree to attempt to resolve disputes arising from this Agreement through good-faith negotiations before pursuing formal legal proceedings, unless urgent legal relief is necessary.
This Agreement constitutes the entire agreement between the Parties concerning the licensing of the Licensed Content and supersedes prior discussions on the same subject. Any amendment, extension, additional use, or change to the scope of the license must be documented in writing and accepted by both Parties.
Electronic acceptance and signatures may be used to the extent permitted by applicable law. If any provision is found unenforceable, the remaining provisions shall remain in effect to the extent permitted by law.
By completing the form and submitting acceptance, the Licensee acknowledges that they have read, understood, and agreed to the terms of this Agreement. The Licensee intends their electronic acceptance to constitute their agreement to be legally bound by this Agreement.
The Licensee confirms that the information submitted is accurate and that they are authorized to accept this Agreement on behalf of the company identified in the form, if applicable. The Licensor will retain an electronic record of the acceptance, including the submitted information, date and time of acceptance, and the version of the Agreement accepted.
